   As we expand our operations and navigate the complexities of developing technologies capable of revolutionizing financial services and solutions, we are seeking a dynamic and motivated lawyer with experience in corporate and investment matters to join our legal team.

   We are looking for a junior/mid-level lawyer specializing in corporate and investment matters to join our growing legal department. An understanding of, and experience working with projects in, the blockchain space is desirable. The ideal candidate will have a strong foundation in corporate and commercial law, investment transactions, and a keen interest in Fintech and emerging technologies, particularly within the blockchain and cryptocurrency sector.


Key responsibilities:

  • Provide legal advice and support on corporate structuring matters, including entity formation, reorganizations, funding rounds, intragroup arrangements and company administration.

  • Handle corporate governance matters, including board meetings, resolutions and corporate filings.

  • Assist in the development of corporate policies, procedures and best practices to promote legal compliance and mitigate legal risks.

  • Draft, review and negotiate a wide range of corporate and commercial agreements, such as: shareholder agreements, investment agreements, share and asset purchase agreement, token purchase agreement, joint venture agreements, partnership agreements, services contracts etc.

  • Collaborate with cross-functional teams, including in product development, compliance and regulatory affairs, to ensure the business is complying with applicable legal and regulatory requirements.

  • Advise the business on issues affecting the FinTech and blockchain industry, including securities laws, financial services regimes, and general regulatory compliance matters.

  • Stay informed about emerging legal and regulatory developments in the Fintech and blockchain space and provide proactive advice to senior management on potential legal risks and opportunities.

  • Provide general legal support to the business operations on other matters including privacy, AML/CFT compliance, tax etc.

Who you are

Qualifications:

  • UK qualified lawyer with at least 2 years’ PQE at a top law firm or in-house legal department. Additional admission to practice law in the EU or US would be a plus.

  • Expertise in corporate law, with experience advising on corporate and investment transactions, cross border group structures and related legal matters. Strong understanding of corporate governance principles and general company administration matters.

  • Familiarity with legal and regulatory issues relating to blockchain technology, cryptocurrencies, DAOs and decentralized finance (DeFi) concepts is highly desirable.
